Madison Arm Resort NDA

This Non-Disclosure Agreement ("Agreement") is entered into as of the date signed below, by and between Hebgen Lake Development Inc, DBA Madison Arm Resort, located at 5475 Madison Arm Rd, PO Box 1410, West Yellowstone, MT 59758 ("Disclosing Party"), and the undersigned recipient ("Receiving Party").

1. Purpose: The Disclosing Party intends to disclose certain confidential and proprietary information ("Confidential Information") to the Receiving Party for the purpose of evaluating a potential purchase of Madison Arm Resort.

2. Confidential Information includes, but is not limited to, business operations, financial data, customer lists, marketing plans, and any other non-public information related to the resort.

3. Obligations of Receiving Party:

   1. Maintain the confidentiality of the Confidential Information.

   2. Not disclose Confidential Information to any third party without prior written consent.

   3. Use the Confidential Information solely for the Purpose stated above.

4. Exclusions: Confidential Information does not include information that:

   1. Is or becomes publicly available without breach of this Agreement.

   2. Is rightfully received from a third party without confidentiality obligation.

   3. Is independently developed by the Receiving Party without use of Confidential Information.

5. Term: This Agreement remains in effect for two (2) years from the date signed.

6. Governing Law: This Agreement shall be governed by the laws of the State of Montana, and any disputes shall be resolved in Gallatin County, Montana.
